Sponsorship Terms and Conditions

Sponsor’s signature on the signature page following these terms constitutes acceptance of these terms. This Sponsorship Proposal and Agreement is entered into by and between Warriors Choice Foundation (“WCF”), a Florida nonprofit organization, and the sponsor identified on the signed commitment page (“Sponsor”). The signed commitment page, these terms, and any approved written addendum together govern Sponsor’s participation in the Warriors Choice Foundation fundraising event to be held November 5–8 at PGA National Golf Course (the “Event”).

1. Sponsorship commitment. Sponsor agrees to provide the sponsorship amount associated with the level selected on the commitment page or in any approved custom addendum. WCF agrees to provide the corresponding recognition benefits described in this proposal, subject to the operational adjustments permitted under this Agreement.

2. Payment. Unless otherwise approved in writing by WCF, payment is due within thirty (30) days of execution and no later than applicable production deadlines. WCF may withhold certain recognition items until payment, deposit, or an approved payment schedule has been received.

3. Artwork and approvals. Sponsor will provide approved high-resolution logo files, copy, and any required brand guidance by WCF’s requested deadline. WCF may size, place, or format Sponsor marks as reasonably necessary for production consistency and event presentation.

4. Recognition and inventory. Recognition, speaking opportunities, sponsor placements, and on-course inventory remain subject to availability, safety requirements, venue restrictions, and final event operations. If adjustments are required, WCF may substitute substantially comparable visibility or benefits.

5. License to use names and marks. Sponsor grants WCF a limited, non-exclusive license to use Sponsor’s name, logo, and approved marks solely for event promotion, sponsor recognition, and post-event acknowledgment. Sponsor may not use WCF’s name or marks without prior written approval.

6. Indemnification. Each party is responsible for its own acts and omissions. To the extent permitted by law, each party agrees to indemnify, defend, and hold harmless the other party and its directors, officers, employees, and agents from third-party claims, damages, liabilities, and reasonable costs arising from the indemnifying party’s negligence, willful misconduct, breach of this Agreement, or infringement arising from materials it provides.

7. Event changes and force majeure. If weather, venue issues, public safety concerns, or other circumstances beyond WCF’s reasonable control require a change to the Event’s date, schedule, format, or location, WCF may deliver recognition at a rescheduled or modified event or provide substantially comparable benefits.

8. Cancellation and refunds. Sponsor cancellations must be submitted in writing. Sponsorship payments are non-refundable after execution unless otherwise agreed in writing. If Sponsor cancels after execution but before payment, Sponsor remains responsible for any signage, production, or third-party costs WCF has already committed on Sponsor’s behalf as of the cancellation date. If WCF cancels the Event and does not reschedule within twelve (12) months, Sponsor may elect either a refund of the portion of funds allocable to unfulfilled benefits, less actual committed production costs, or application of the sponsorship amount to another mutually approved WCF event or program opportunity.

9. Tax and acknowledgment. WCF will provide a written acknowledgment for Sponsor’s records. The acknowledgment will state a good-faith estimate of the fair-market value of any goods and services provided to Sponsor (such as golf, meals, and hospitality), which may reduce the portion of the sponsorship that is treated as a charitable contribution under applicable tax rules. WCF’s federal tax identification number (EIN) is 81-4094917. Sponsor is responsible for consulting its own tax advisor regarding deductibility, advertising treatment, or any fair-market-value considerations associated with sponsorship benefits.

10. Entire agreement and governing law. This proposal, the signed commitment page, and any written custom addendum together constitute the entire agreement between the parties regarding sponsorship of the Event. This Agreement is governed by the laws of the State of Florida. The parties will first attempt in good faith to resolve any dispute arising under this Agreement through informal negotiation and, if unresolved, through non-binding mediation. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Palm Beach County, Florida for any dispute not so resolved. Signatures delivered electronically or in counterparts are valid.

11. Sponsor approval and brand alignment. WCF may, in its sole discretion, decline, condition, or discontinue any sponsorship, activation, signage, or use of Sponsor’s marks that WCF determines is inconsistent with its charitable mission, its commitments to veterans and first responders, or the standards of the host venue. If WCF declines a sponsorship before any benefits are delivered, WCF will refund amounts paid for undelivered benefits, less any nonrefundable costs already committed.

12. Insurance. A Sponsor that staffs an on-course table, activation, sampling, or giveaway will maintain commercial general liability insurance in commercially reasonable amounts covering its on-site personnel and activities and, on WCF’s request, will provide a certificate of insurance naming WCF and the host venue as additional insureds.

13. Independent parties. The parties are independent contractors. Nothing in this Agreement creates a partnership, joint venture, employment, or agency relationship, and neither party may bind or incur obligations on behalf of the other.

14. Employee participation; voluntariness and confidentiality. Where a sponsorship includes participation in the Resiliency Program by the Sponsor’s employees, each employee’s participation is voluntary, and an employee may decline or withdraw at any time without penalty. WCF will obtain each participant’s informed consent before enrollment. All individual health, assessment, and outcomes data are confidential and will not be shared with the Sponsor. WCF may provide the Sponsor only aggregate, de-identified information that does not identify any individual or their results, and only where the group is large enough to prevent re-identification. Nothing in this Agreement entitles the Sponsor to any individual participant’s records or results.

Acceptance. By checking the box below and signing, the Sponsor accepts the Sponsorship Terms and Conditions set out above and the commitment recorded on this form, and WCF accepts the Sponsor’s commitment.
